1. Acceptance of Terms

By accessing or using Solara ("the Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a binding agreement between you and Lyons Technologies Inc., an Ontario corporation ("we," "our," or "us"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

Solara is a personal finance management platform that allows users to track spending, manage budgets, set savings goals, monitor net worth, connect bank accounts, and gain AI-powered financial insights. The Service is provided on a subscription basis priced in United States Dollars (USD).

3. Account Registration

You must create an account to use Solara. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. You must be at least 18 years of age to use the Service.

4. Subscription & Billing

  • Free trial: New accounts include a 7-day free trial. No charge is made until the trial period ends.
  • Plans: We offer a monthly plan (USD $14.99/month) and an annual plan (USD $99/year). All prices are in United States Dollars.
  • Billing: Your payment method will be charged automatically at the start of each billing period after the trial ends.
  • Cancellation: You may cancel at any time through your account settings. Access continues until the end of your current paid billing period. No partial refunds are issued for unused time.
  • Money-back guarantee: If you are not satisfied, contact us within 30 days of your first charge for a full refund — no questions asked.
  • Price changes: We will provide at least 30 days' notice before changing subscription prices. Continued use after the notice period constitutes acceptance of the new price.
  • Taxes: Prices are exclusive of any applicable taxes. You are responsible for any taxes applicable to your purchase in your jurisdiction.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, copy, or create derivative works from the Service
  • Use the Service to store or transmit malicious code or harmful content
  • Share your account credentials with others or allow multiple individuals to use a single account
  • Use automated tools to scrape, crawl, or extract data from the Service
  • Use the AI Financial Advisor for any purpose other than personal financial education and guidance

6. AI Financial Advisor — Important Disclaimer

The AI Financial Advisor feature is powered by Anthropic's Claude AI. By using this feature, you acknowledge and agree that:

  • The AI Advisor provides general financial education and information only — it does not constitute financial, investment, tax, or legal advice
  • The AI Advisor is not a licensed financial advisor, portfolio manager, or investment dealer under applicable Canadian securities law
  • AI-generated responses may contain errors or inaccuracies and should not be relied upon as a substitute for advice from a qualified professional
  • Your financial data is transmitted to Anthropic's API to generate responses, as described in our Privacy Policy
  • We may impose usage limits on this feature (such as daily request limits) to ensure fair access

7. Bank Connectivity (Plaid)

Bank account connectivity is provided by Plaid Technologies, Inc. By connecting a bank account, you agree to Plaid's End User Privacy Policy. Solara receives read-only access to your account data. We do not initiate transactions, move funds, or store your banking credentials.

8. Financial Disclaimer

Solara is a personal finance tracking and education tool. Nothing in the Service — including budgets, projections, financial health scores, calculators, or AI-generated insights — constitutes financial advice, investment advice, tax advice, or legal advice. All information is provided for educational and informational purposes only. Consult a qualified financial advisor, accountant, or legal professional before making significant financial decisions.

9. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You own your financial data. We will never sell your personal information to third parties. Upon account deletion, your data is permanently removed within 30 days.

10. Intellectual Property

Solara, including its name, design, features, code, and content, is owned by Lyons Technologies Inc. and protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our express written permission.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Lyons Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including reliance on AI-generated financial insights or bank connection errors. Our total liability to you for any claim shall not exceed the greater of (a) the total amount you paid us in the 12 months preceding the claim, or (b) USD $100.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may occasionally perform maintenance that temporarily limits access. We are not liable for any losses arising from service interruptions beyond our reasonable control.

13. Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that is harmful to other users or to the Service. You may delete your account at any time from Settings. Upon termination, your data will be permanently deleted within 30 days.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario. If you are a consumer resident in another jurisdiction, you may also have rights under the laws of your local jurisdiction.
